B2B terms
Terms for business customers
Last updated: 11 October 2026
Important: This English text is provided for information only. Unless expressly agreed otherwise, the German terms and conditions are the authoritative contractual version.
1. Contracting party and scope
The contracting party is CodePartner GmbH, Twisterlingsbogen 5, 26160 Bad Zwischenahn, Germany (the “Provider”). These terms apply only to entrepreneurs, legal entities under public law and special funds under public law.
2. Formation of contract
Information on XR-Agentur.de is non-binding. Submitting the contact form does not create a contract. A contract is formed only by acceptance of an individual proposal, an order confirmation or another clear mutual commissioning agreement.
3. Project scope
The binding scope follows primarily from the individual proposal, statement of work, order confirmation and other expressly agreed project documents. Individual agreements take precedence over these terms.
4. Customer cooperation
The customer provides required information, content, CAD/3D data, interface documentation, test data, access, contacts, hardware and approvals in a timely and suitable form and ensures that supplied materials may be lawfully used.
5. Changes
Requests outside the agreed scope are assessed for effort, cost, timing and technical impact before implementation and require separate commissioning where applicable.
6. Fees and third-party costs
Fees, payment terms and third-party costs are governed by the individual agreement. Unless otherwise agreed, prices are net plus applicable VAT.
7. Dates and dependencies
Project dates are binding only when expressly agreed as binding. Delays caused by missing cooperation, later changes, third-party services, platform approvals, hardware availability or other circumstances outside the Provider's responsibility may result in an appropriate adjustment of affected dates.
8. Acceptance and defects
Where the contract requires an accepted work result, statutory acceptance and defect rules apply unless the individual agreement validly provides otherwise. Insignificant defects do not entitle the customer to refuse acceptance.
9. XR-specific limitations
XR applications depend on hardware, operating systems, sensors, tracking, lighting and environment, network availability, device management, 3D-data quality and platform SDKs. Spatial visualisation, tracking and AR registration are not technical measurement, inspection or approval procedures unless the required accuracy is expressly agreed and technically validated as an acceptance criterion.
10. Third-party software and platforms
Third-party software, open-source components, APIs, operating systems, app stores, headset platforms and cloud services may be subject to separate terms and may change independently of the Provider.
11. Usage rights
Usage rights are primarily governed by the individual agreement. Unless otherwise agreed, after full payment the customer receives the simple, geographically and temporally unrestricted usage rights required for the contractually intended purpose in individually created work results. Pre-existing tools, libraries, frameworks, generic components, methods and know-how remain with their respective rights holders.
12. Confidentiality and data protection
Both parties treat confidential information as confidential and use it only for the contractual purpose. Where the Provider processes personal data on behalf of the customer and Art. 28 GDPR applies, the parties enter into a separate data-processing agreement.
13. Liability
The Provider has unlimited liability for intent and gross negligence, culpable injury to life, body or health, an expressly assumed guarantee and mandatory statutory liability. For a slightly negligent breach of a material contractual obligation, liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded to the extent permitted by law.
14. Term and termination
Term and ordinary termination are governed by the individual agreement. The right to terminate for cause and mandatory statutory termination rights remain unaffected.
15. References
The customer's name, logo or non-public project information will not be used for reference or advertising purposes without the customer's express approval.
16. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods where legally permissible. If the customer is a merchant, a legal entity under public law or a special fund under public law, the Provider's registered office is the exclusive place of jurisdiction to the extent legally permissible.
